Empiria World Inc is a Canadian corporation with its principal place of business at #203-1315 Lawrence Ave E, Toronto, M3A3R3, Ontario, Canada. Empiria World Inc. can be contacted by mail at the above-mentioned address and by email at info@empiria.events.

Welcome to Empiria Events! We are a ticketing and events registration platform dedicated to bringing the world's cultures together through live experiences. Empiria Events platform is one of Empiria World Inc Properties. Through Empiria Events Platform, mobile apps and services, we enable people all over the world to create, discover, share and register for events in order to connect with their culture and to promote their culture to the world.

These Terms of Service and the other documents referenced in them comprise Empiria Events' "Terms." They constitute a legally binding agreement between users and Empiria World Inc.

By accessing or using Empiria Events Services, you agree to comply with and be bound by these Terms, as applicable to you. If you do not agree to these Terms, please do not use our Services.

Empiria Events is not the creator, organizer or owner of the events listed on the Services. The company provides ticketing and registration tools only.

Organizers are solely responsible for ensuring their events comply with all applicable laws, including obtaining all necessary licenses, permits, and authorizations. Empiria Events is not liable for any acts or omissions of Organizers or third parties in connection with events.

Information provided to Empiria World Inc by Users or collected by Empiria World Inc through Empiria World Inc's Properties is governed by our Privacy Policy.

Organizers must comply with all applicable data protection and privacy laws when collecting, storing, and using consumer information obtained through the platform. Organizers may not use consumer data for any purpose other than managing the event for which it was collected.

Empiria Events may terminate user access for violating these Terms, misusing Services, or if allowing continued use would violate applicable laws. Users may delete their accounts at any time to terminate access.

All provisions of these Terms that by their nature should survive termination of these Terms will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Users warrant that they are not located in, or a national or resident of, any country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country (including Cuba, Iran, North Korea, Syria, and Crimea).

Users further warrant that they are not listed on any U.S. government list of prohibited or restricted parties, and that they will not use the Services for any purpose prohibited by applicable export control laws.

Release: Users release Empiria World Inc. from any and all claims, demands, and damages arising out of or in connection with disputes with other users or third parties related to the Services or events listed on the platform.

Indemnification: You agree to defend, indemnify and hold Empiria World Inc and each of its respective officers, directors, agents, co-branders, licensors, payment processing partners, other partners and employees harmless from any and all damage, loss, liability, cost and expense (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your Content, or your violation of these Terms.

The Services are provided on an "as is" and "as available" basis. Empiria World Inc disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The company makes no warranty regarding the reliability, accuracy, or quality of any event listed on the platform.

Users voluntarily assume all risks associated with attending or organizing events. Empiria World Inc is not responsible for the quality, safety, legality, or any other aspect of any event.

Limitation of Liability: Empiria World Inc and any person or entity associated with the provision of the Services will not be liable to you or any third party for any indirect, incidental, special, consequential, punitive or exemplary damages. Maximum liability is limited to fees paid in the three months preceding the claim, or $100 CAD for non-paying users.

IMPORTANT: ANY DISPUTE OR CLAIM UNDER THESE TERMS OR WITH RESPECT TO THE SERVICES WILL BE SETTLED BY BINDING ARBITRATION OR IN SMALL CLAIMS COURT, AND WILL TAKE PLACE ON AN INDIVIDUAL BASIS ONLY. YOU AGREE THAT CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

Contact Us First: Before initiating arbitration, consumers should contact Empiria support to attempt to resolve the dispute informally. Parties have 60 days to reach a resolution before arbitration may begin.

Scope: Arbitration covers all disputes arising out of or relating to your relationship with Empiria World Inc, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

Exceptions: Claims that qualify for small claims court and actions to enforce intellectual property rights may be brought in the applicable provincial or federal courts.

Notice of Dispute: A written Notice of Dispute must be sent by certified mail to the Empiria legal department at the address listed in Section 01 before arbitration begins.

License to Use the Services: We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use our Services solely for the purposes set out in these Terms.

Restrictions on Your License: You may not copy, modify, translate, reverse engineer, decompile, rent, lease, resell, or distribute the Services or any part thereof. You may not remove any proprietary notices or labels on the Services or interfere with or disrupt the integrity or performance of the Services.

All Site Content may be protected by copyrights, trademarks, service marks, trade secrets or other intellectual property and other proprietary rights and laws. All content on the Empiria platform is the exclusive property of Empiria World Inc or its licensors.

You agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of any Site Content.

The trademarks, service marks and logos of Empiria Events (the "Empiria World Inc. Trademarks") used and displayed in connection with the Services are registered and unregistered trademarks or service marks of Empiria World Inc.

Nothing in these Terms or the Services should be construed as granting any license or right to use any Empiria World Inc. Trademark without the prior written consent of Empiria World Inc.

All sub-domains created through the Empiria platform are the sole property of Empiria World Inc. Users retain rights to their sub-domain only while their events are actively selling tickets and they remain in compliance with these Terms.

Emperia World Inc. reserves the right to reclaim or reassign any sub-domain at any time if a user's account is suspended, terminated, or found to be in violation of these Terms.

Organizers represent and warrant that they will obtain all licenses, permits, and authorizations required by applicable law before selling tickets to any event. They further warrant that the event venue complies with all applicable health, safety, and building laws and regulations.

Organizers release Empiria World Inc. from any liability related to their failure to obtain required licenses or permits, and agree to indemnify Empiria World Inc. against any claims arising from such failure.

You have no right to use, and agree not to use, any Site Content for your own commercial purposes without the prior written consent of Empiria World Inc.

The use of automated tools, bots, scrapers, or other means to extract data from the platform is strictly prohibited. Any unauthorized commercial use of Site Content may result in immediate account termination and legal action.

Fees That We Charge: Accounts and event listings are free to create. Fees for paid ticketing vary depending on your agreement with Empiria Events. Organizers may choose to absorb service fees or pass them on to consumers. Empiria does not control any fees charged by banks or credit card companies.

Ticket Transfers: Empiria will accommodate ticket transfers where possible. Otherwise, consumers should contact the applicable Organizer or reach Empiria at info@empiria.events.

Refunds: Empiria Events asks that all Consumers contact the applicable Organizer of their event with any refund requests. Organizers set their own refund policies, which consumers should review before purchasing. Empiria is not liable for fraudulent ticket sales or tickets purchased through unofficial channels.

Users must be at least 18 years old to create an account independently. Users aged 13 to 17 may use the platform under parental supervision. Children under 13 may not register.

You agree to provide accurate, current, and complete information when creating your account and to maintain the confidentiality of your password. You must notify Empiria immediately of any unauthorized use of your account.

You may not use your account to collect sensitive personal data from other users — including health information, social security numbers, financial account details, payment card numbers, government-issued ID numbers, or passport information — without Empiria's prior written consent.

This binding agreement applies upon organizer account creation and governs the relationship between Organizers and Empiria World Inc.

1. Payment Processing: Stripe is the exclusive payment processor. Payouts typically occur within 2–7 business days per Stripe's terms.

2. Account Verification: Organizers must provide accurate identity information and complete Stripe onboarding within 90 days or face account closure.

3. Event Responsibilities: Organizers solely control event content, pricing, policies, and legal compliance, including insurance.

4. Refunds and Chargebacks: Organizers must honor their posted refund policies. Disputed amounts will be deducted from payouts.

5. Event Cancellation: Organizers must notify Empiria of any cancellations. Payouts may be withheld pending dispute resolution.

6. Taxes: Organizers are responsible for all applicable taxes. Empiria collects GST/HST on its own service fees only.

7. Licenses and Insurance: Organizers must maintain all required documentation and provide proof upon request.

8. Data Privacy: Organizers may use attendee data only for the event for which it was collected and may not share or sell it.

9. Email Compliance: Organizers must comply with all applicable anti-spam and privacy laws including CAN-SPAM, CASL, and GDPR.

10. Limitation of Liability: Empiria's liability to Organizers is limited to service fees paid in the past three months, not exceeding $100 CAD.

11. Dispute Resolution: All disputes, including those involving non-profit organizers, are subject to binding arbitration in Ontario.

12. Termination: Empiria may suspend or terminate organizer accounts for breach, fraud, or regulatory concerns.

License: By submitting content to the platform, you grant Empiria World Inc. a non-exclusive, worldwide, perpetual, royalty-free license to use, reproduce, transmit, adapt, modify, perform, distribute, and display your content for the purpose of operating and promoting the Services. You waive any moral rights in your content to the extent permitted by law.

Representations: You warrant that you have all rights necessary to grant this license and that your content does not infringe any third-party rights, violate any laws, or breach these Terms.

Additional Rules: Your content must be accurate and truthful. Empiria may remove any content that violates these Terms or our Community Guidelines without notice. Empiria may use Organizer names and logos for platform identification and marketing purposes.

Users who use Empiria's email features represent that they have authorization from all recipients, gathered in compliance with applicable marketing regulations. All emails sent through the platform must promote legitimate events and must not contain false headers or misleading subject lines.

Users must include a functioning unsubscribe mechanism in all marketing emails and must honor unsubscribe requests promptly. Non-compliance with CAN-SPAM, CASL, GDPR, or any other applicable anti-spam law will result in immediate suspension of email tool access and may result in account termination.

Notices from Empiria to you will be sent via email or mail to the address you have on record with us, or displayed on the Services. You may contact Empiria at:

Empiria World Inc. reserves the right to modify these Terms from time to time. Material modifications will be effective 30 days after notice is provided to users via email or a prominent notice on the platform.

Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms. Empiria may also modify terms specific to individual users or user types through a separately signed written agreement. Empiria may discontinue any feature of the Services at any time.

Empiria World Inc. may, without your consent or approval, freely assign these Terms and its rights and obligations under these Terms to any affiliate, successor, or acquirer.

You may not assign your rights or obligations under these Terms to any third party without the prior written consent of Empiria World Inc. Any purported assignment in violation of this section is void.

These Terms constitute the entire agreement between you and Empiria World Inc. with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

This does not affect any separately negotiated and signed written agreement between Empiria World Inc. and an Organizer, which shall continue to govern the specific matters addressed therein.

These Terms are governed by the laws of the Province of Ontario, without regard to its conflict of laws rules.

Any legal action or proceeding arising under these Terms that is not subject to arbitration must be brought exclusively in the courts located in Scarborough, Ontario, Canada, and you hereby consent to the personal jurisdiction of such courts.

Any feedback, suggestions, ideas, or other information you submit to Empiria ("Feedback") will be considered non-confidential and non-proprietary to you.

By submitting Feedback, you grant Empiria World Inc. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, and distribute the Feedback for any purpose, without compensation to you.

Empiria World Inc. and its Properties are not responsible for the availability of any third-party websites or resources linked from the Services. The company does not endorse and is not responsible for any content, advertising, products, or other materials on or available from such third-party sites.

Your relationships with any third-party service providers are solely between you and those third parties. Empiria World Inc. shall not be liable for any loss or damage of any sort incurred as a result of any dealings with such third parties.

Non-enforcement of any provision of these Terms by Empiria does not constitute a waiver of that provision. No oral modifications to these Terms are effective.

If any provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect. Section titles are for convenience only and have no legal effect. These Terms do not create any partnership, joint venture, or employment relationship. Translations of these Terms are provided for convenience; in the event of any conflict, the English version controls.

Empiria Events offers its Services globally and may provide location-specific terms or features where required by local law.

Users are responsible for ensuring their use of the Services complies with all laws applicable in their jurisdiction. If any provision of these Terms conflicts with local law in your jurisdiction, the local law provision will apply to the extent required, and all remaining provisions will continue in full effect.
